UAE Free Zone Licence Renewal: Steps, Costs, Fines

A free zone licence in the UAE lasts one year, and renewing it means more than paying the yearly fee. Before the expiry date printed on your licence, you renew the licence and its office package with the free zone. You then keep the establishment card and visas valid, and clear any tax or compliance gaps that could block the application. Start about 30 to 60 days early, because most zones give no grace period and late fines begin the day after expiry.

This guide walks you through the full renewal cycle: what renews, what you need, what it typically costs, and the mistakes that turn a simple renewal into an expensive one.

What actually renews every year

Many founders think "renewal" is one payment. In practice, four separate items run on their own clocks, and each one can expire on a different date.

Item Who issues it How often What happens if it lapses
Trade licence The free zone authority Every 12 months Daily late fines; the company cannot trade or process most services
Office / facility package The free zone (flexi-desk, office, warehouse) Usually with the licence The licence cannot renew without a valid facility
Establishment card (immigration file) The emirate's immigration authority, often via the free zone portal Usually yearly New visas and visa renewals are blocked
Residence visas Immigration, linked to the company Typically every 2 years Overstay fines for the visa holder

The licence and the facility are normally renewed together, as one package. The establishment card is the item people forget most often. A valid licence alone does not keep it active, and without it you cannot sponsor or renew any visa.

The renewal process, step by step

Each free zone has its own portal and its own forms, but the order of steps is very similar across the UAE.

1. Check your dates 60 days ahead

Put the licence expiry, the establishment card expiry and every visa expiry in one calendar. If they are scattered across the year, ask your advisor whether you can align them at this renewal. That way you deal with immigration paperwork once a year, not four times.

2. Clear anything that blocks renewal

Free zones generally refuse a renewal while there are unpaid invoices, outstanding fines or open compliance requests on the account. Log in to the portal and settle these first. This is also the right moment to make changes, such as adding an activity or changing the office type. Some zones only accept amendments within a set window before expiry, so do not leave them until the last week.

3. Prepare the documents

Most zones ask for a fairly short list:

  • A valid passport copy for each shareholder and the manager (some zones also ask for a current visa or Emirates ID copy)
  • The signed renewal application or undertaking, if the zone uses one
  • Documents of a corporate shareholder (parent company certificate of good standing), where relevant
  • Any regulator approval or NOC that has its own expiry date, for regulated activities
  • Your Corporate Tax registration details (TRN), which more and more authorities ask for during renewal
  • Audited financial statements, but only in zones and licence types that require them

If ownership, the manager or the activities changed during the year, expect the free zone to process that as an amendment first, with its own checklist.

4. Pay and submit in the portal

You select the renewal service, review the quote, pay online, upload the documents and submit. The zone then checks the file and issues the renewed licence, usually as a digital copy. Simple renewals with no changes are often done within a few working days. Confirm the current timeline with your free zone, as it varies by season and by how complete your file is.

5. Renew the establishment card and plan visa renewals

Once the new licence is issued, renew the establishment card. In Dubai this is a GDRFA service, and many free zones submit it for you through their own portal. Then check which visas expire in the coming months, so a renewal is never stuck waiting for a lapsed company file.

RAKEZ example: what the official rules say

We use Ras Al Khaimah Economic Zone (RAKEZ) as a worked example, because it is one of the most popular zones for small businesses and the zone behind our current headline offer.

  • Where you renew: RAKEZ handles renewals online through its client portal and app (RAKEZ licence renewal service).
  • Grace period: RAKEZ states there is no grace period after the licence expiry date.
  • Late penalty: its free zone renewal checklist (Issue 04, January 2025) sets a late fee of around AED 50 per day from the expiry date. It also warns that separate fines from other authorities, such as immigration, may apply on top.
  • Other fees: third-party fines on the immigration file and chamber of commerce membership are the company's responsibility, not the zone's.

So a RAKEZ licence renewed 40 days late can already carry about AED 2,000 in zone penalties alone, before any immigration fines. Fees are updated from time to time, so confirm the current schedule on the RAKEZ portal before you pay. You can see our current RAKEZ prices and renewal estimate on the RAKEZ free zone page.

How much renewal typically costs

Renewal is usually cheaper than the first year, because one-time costs such as registration, name reservation and initial approvals fall away. A rough way to budget is:

  • Licence and facility package: often similar to, or slightly below, the first-year package price for the same zone. Promotional first-year prices may not repeat, so check the renewal price before you buy.
  • Establishment card: a separate immigration fee, typically in the low thousands of dirhams. It depends on the emirate and the zone.
  • Visas: only when a visa is actually due. The cost depends on the visa length, medical test and Emirates ID.
  • Penalties: zero if you renew on time, so this is the easiest line to control.

To compare zones on total cost over two or three years, not just the first-year price, use our cost calculator. Then look at two zones side by side. All figures are estimates; the free zone's own invoice is final.

Tax and compliance checks that can block renewal

Since UAE Corporate Tax started, renewals are no longer only a free zone matter.

  • Corporate Tax registration: every free zone company must register with the Federal Tax Authority, even if it expects to pay 0% as a Qualifying Free Zone Person. Late registration carries an FTA administrative penalty (check the current amount on tax.gov.ae). Some authorities ask for the TRN at renewal. Our Corporate Tax guide for free zone companies explains the rules.
  • E-invoicing readiness: larger businesses face upcoming e-invoicing deadlines. If that applies to you, renewal is a good time to plan it. See our UAE e-invoicing guide.
  • UBO and records: keep your Ultimate Beneficial Owner register and accounting records up to date. Zones can ask for them at any time.

Five renewal mistakes that cost money

  1. Waiting for the reminder email. Reminders can land in spam. The expiry date on the licence is the deadline, whether you received a reminder or not.
  2. Renewing the licence but not the establishment card. The licence looks fine until the day a visa renewal is refused.
  3. Not checking the renewal price. A low first-year offer can renew at a higher standard rate. Ask before you sign up, not 11 months later.
  4. Letting the company sit idle and unrenewed. An expired licence does not close the company. Fines keep building until you either renew or formally deregister.
  5. Making changes at the last minute. Adding activities or shareholders during renewal week can delay the whole file past the expiry date.

Next step

If your licence expires in the next two months, list your three dates (licence, establishment card, visas) and check the renewal quote in your free zone's portal. If you want us to handle it, our licence renewal service covers the zone filing, the establishment card and visa planning in one process. You can also message the team on WhatsApp with your expiry date for a free estimate.

Frequently asked questions

When should I start renewing my UAE free zone licence?

Start about 30 to 60 days before the expiry date. That leaves time to clear unpaid invoices, make any amendments and renew the establishment card before anything lapses.

Is there a grace period for free zone licence renewal?

Usually not. RAKEZ, for example, states there is no grace period and charges a daily late fee from the expiry date. Check your own zone's rules, but plan as if fines start the next day.

Does renewing the licence also renew my establishment card?

Not automatically. The establishment card is an immigration file with its own expiry date. Renew it separately after the licence, often through the same free zone portal.

What happens if I don't renew and stop using the company?

The company is not closed by leaving it. Licence and immigration fines can keep building, so either renew or formally deregister the company through the free zone.
